This workshop is also helpful for those trying to figure out whether this type of organization is right for them. \nTopics Covered:\nState issues to be covered include articles of incorporation\, bylaws\, and the first organization meeting. Federal issues include the Internal Revenue Code Section 501(c)(3) and corresponding regulations\, application for employer identification number\, IRS disclosure rules\, unrelated business taxable income\, charitable contributions\, and restrictions on lobbying. \nThis workshop will also touch on the legal and ethical duties for board members; donor requirements; the new Form 990; intellectual property issues specific to non-profit tax-exempt organizations; insurance; and employment issues. The Fiscal Sponsorship model will be addressed as an alternative to forming a non-profit organization. \nVLA requires all applicants seeking Nonprofit Incorporation and Tax Exempt Status services through VLA to attend one of these workshops before a volunteer attorney can be assigned to them. \nInstructor:\nThis class will be taught by Amy A. Lehman\, Esq.\, VLA Director of Legal Services. \nContinuing Legal Education Credits: 2 Continuing Legal Education credits for attorneys: 2 Professional Practice (Approved for Non-Transitional and Transitional Attorneys). However\, they are essential for protecting your rights and interests when creating your art. This class will go over 10 important things to look out for when entering an agreement\, so that you can ensure that both you and your creative work are adequately protected. Topics to be covered include contract formalities\, negotiating payment and credit terms\, termination\, and boilerplate language. \n\n\n\n\nContinuing Legal Education: This program provides 1 Professional Skills CLE credit\, approved for Non-Transitional and Transitional Attorneys. \n\n\n\nInstructor: Marcus Barahal\, Esq.\, Staff Attorney at Volunteer Lawyers for the Arts \n\nMarcus currently serves as Staff Attorney at VLA. Prior to his legal career\, he received a BFA in Film and Television from New York University’s Tisch School of the Arts in 2017. During and after his time at NYU\, he worked on television shows on NBC\, TBS\, PBS\, and ESPN\, worked for the NBA\, and directed a nightly app-based live trivia game show. He is passionate about writing and storytelling. \nIn May 2024\, Marcus obtained his Juris Doctor from the Fordham University School of Law.
