This workshop is also helpful for those trying to figure out whether this type of organization is right for them. \nTopics Covered:\nState issues to be covered include articles of incorporation\, bylaws\, and the first organization meeting. Federal issues include the Internal Revenue Code Section 501(c)(3) and corresponding regulations\, application for employer identification number\, IRS disclosure rules\, unrelated business taxable income\, charitable contributions\, and restrictions on lobbying. \nThis workshop will also touch on the legal and ethical duties for board members; donor requirements; the new Form 990; intellectual property issues specific to non-profit tax-exempt organizations; insurance; and employment issues. The Fiscal Sponsorship model will be addressed as an alternative to forming a non-profit organization. \nVLA requires all applicants seeking Nonprofit Incorporation and Tax Exempt Status services through VLA to attend one of these workshops before a volunteer attorney can be assigned to them. \nInstructor:\nThis class will be taught by Amy A. The workshop will focus on “deal mediation” negotiation\, facilitative leadership skills\, and resolution of disputes without resorting to litigation. \nFollowing completion of the program\, participants will be eligible to take part as mediators in VLA’s MediateArt Program\, as matters arise. For more about VLA’s MediateArt\, see below. \nContinuing Legal Education: Attorneys attending this mediation training program may be eligible for up to 16 CLE credit hours. (8 Areas of Professional Practice\, 6 Skills Credits\, and 2 Ethics Credits). To receive CLE for this training\, all sessions must be attended. In addition to her private practice\, she is a mediator for the American Arbitration Association\, Volunteer Lawyers for the Arts\, the United States Equal Employment Opportunity Commission\, the International Institute for Conflict Authority & Resolution\, New York state and federal courts\, FINRA (the Financial Industry Regulatory Authority)\, and is a member of the roster of neutrals for CPR.
