For-Profit Business Structures for Artistic Entrepreneurs

Choosing the right business structure is a key step for artists building sustainable creative practices. This class provides a practical overview of common for-profit entities, with a primary focus on the corporate considerations that often influence entity selection, including operations, governance, and risk.

The session will also walk through the mechanics of forming an LLC and other common entities, highlighting key legal steps and considerations artists should be aware of when formalizing their business.

Tax considerations will be discussed at a high level, with an emphasis on how they may factor into decision-making, while noting that tax outcomes are highly individualized and may require separate professional advice.

This class is designed to help artists better understand their options and make informed decisions when choosing and forming a business entity.

Caroline I. Keegan is a member of the Art Law, Corporate, and Real Estate practice groups at Kurzman Eisenberg Corbin & Lever, LLP. In her Art Law practice, Caroline counsels dealers, collectors, galleries, museums, and artists on matters involving art transactions, intellectual property, licensing, consignment, and authenticity disputes. She regularly negotiates agreements with major auction houses and cultural institutions and is passionate about supporting artists and arts organizations in protecting their creative work.

Caroline also maintains a robust Corporate practice, advising clients across industries on mergers and acquisitions, corporate governance, financings, and strategic joint ventures, representing companies, non-profits, and entrepreneurs through all stages of growth. Her work emphasizes practical, creative solutions that align with each client’s goals.

Before joining Kurzman Eisenberg, Caroline held positions at The Museum of Modern Art, The Metropolitan Museum of Art, The Brooklyn Museum, and the Calder Foundation.
